COMPANY: Humacyte Inc (Nasdaq: HUMA) is developing a disruptive biotechnology platform to deliver universally implantable bioengineered human tissues, advanced tissue constructs, and organ systems designed to improve the lives of patients and transform the practice of medicine. The Company develops and manufactures acellular tissues to treat a wide range of diseases, injuries, and chronic conditions. Humacyte’s initial opportunity, a portfolio of Acellular Tissue Engineered Vessel (ATEVs), is currently approved for use in vascular trauma repair and is in late-stage clinical trials targeting multiple other applications including AV access for hemodialysis and peripheral arterial disease. Preclinical development is also underway in coronary artery bypass grafts, pediatric heart surgery, treatment of type 1 diabetes, and multiple novel cell and tissue applications. Humacyte’s 6mm ATEV for AV access in hemodialysis was the first product candidate to receive the FDA’s Regenerative Medicine Advanced Therapy (RMAT) designation and has also received FDA Fast Track designation. JOB SUMMARY:

The SEC Reporting Manager is responsible for external financial reporting and filings with the SEC, quarterly earnings releases, other regulatory reporting, SOX documentation and ongoing compliance and technical accounting research, implementation and disclosures. This position requires extensive knowledge of regulatory reporting requirements; strong confidentiality and discretion; outstanding attention to detail and utmost integrity in all actions.

ESSENTIAL FUNCTIONS:

  • Responsible for preparing all SEC filings, including proxy statement preparation and documentation, Form 8-Ks, 10Qs, 10Ks, and other securities filings, including preparation and maintenance of exhibits; monitor corporate activities for events required to be reported externally
  • Subject Matter Expert (SME) and lead in technical accounting efforts
  • Assist with the monthly close including compilation of balance sheet, income statement, statement of cash flows, statement of shareholder’s equity, footnotes and other SEC disclosures
  • Review and approve XBRL tagging of financial statements under US GAAP
  • Prepare tie-out support for all SEC filings
  • Prepare quarterly and annual disclosure checklists
  • Ensure financial statements are prepared in accordance with US GAAP and SEC regulations, including newly issued accounting pronouncements
  • Provide support on the monthly and quarterly closes including preparation of journal entries and reconciliations of more complex or technically challenging balance sheet accounts
  • Proactively monitor newly issued accounting pronouncement and manage the company’s timely implementation of relevant pronouncements
  • Identify complex transactions requiring technical analysis, perform research and prepare technical memos on the transactions
  • Act as the primary contact for the auditors during the annual audit and quarterly reviews
  • Prepare audit schedules and respond to auditor inquiries
  • Update SOX documentation and ensure ongoing compliance
  • Assists with other projects, as necessary

EXPERIENCE & QUALIFICATIONS:

  • Bachelor’s degree in accounting or related discipline, required
  • 10+ years of accounting/financial reporting experience
  • 2+ years of SEC reporting experience within a public company required
  • Strong understanding of SEC reporting standards, Sabanes-Oxley (SOX) compliance & Generally Accepted Accounting Principles (GAAP)
  • Previous technical accounting experience required
  • Life science industry experience preferred
  • CPA, strongly preferred
  • Ability to operate under ramp-up periods during tight deadlines
  • Ability to sit for prolonged periods of time throughout defined work hours
  • Excellent communication and interpersonal skills.
  • Possess a positive roll-up-the-sleeves attitude and optimistic outlook.
  • Strong ability to work in a fast-paced team environment with fluctuating priorities and demonstrated ability to collaborate within cross functional teams.
